End User License Agreement

1. Acceptance
By downloading, installing, accessing, or using CodeMark, you acknowledge that you have read, understood, and agree to be bound by this End User License Agreement ("EULA"). If you do not agree, do not download, install, or use CodeMark.
2. License
Subject to your compliance with this EULA, CodeMark grants you a limited, non-exclusive, non-transferable, revocable license to use the CodeMark software solely for its intended operational timestamp and event-logging purpose on a compatible device that you are authorized to use.
3. Not a Medical Device
CodeMark is not a medical device and is not intended to diagnose, treat, cure, mitigate, or prevent any disease, condition, or injury. CodeMark does not provide diagnosis, treatment, clinical decision-making, medication selection, or dosage advice. Nothing in CodeMark should be interpreted as clinical guidance or as a replacement for professional judgment.
4. Not a Patient Care Record
CodeMark is an operational timestamp and event logger. It is not a substitute for a patient care report, medical record, or any documentation required by your employer, regulator, law, protocol, licensing body, or professional obligations. You remain solely responsible for completing all required clinical and administrative documentation.
5. Accuracy and Verification
Events and timestamps recorded by CodeMark may be incorrect, incomplete, duplicated, delayed, missing, or otherwise inaccurate. You are responsible for reviewing and verifying recorded information before relying upon it. You must independently confirm clinically significant times, interventions, medications, doses, and other patient-care information through an appropriate source.
6. Software and Device Failure
CodeMark depends upon compatible hardware, operating-system software, device timekeeping, storage, battery power, and other technology outside the developer's complete control. Software may contain defects or may fail, crash, freeze, restart, lose data, display incorrect information, or behave unexpectedly. Device failure, battery depletion, hardware damage, software updates, or other circumstances may prevent CodeMark from recording or displaying information.
7. Independent Backup
Do not rely on CodeMark as your sole or primary record for time-sensitive patient-care decisions. You must maintain an independent backup method appropriate to your work environment and professional responsibilities.
8. User Responsibility
You are responsible for your use of CodeMark and for all actions taken in reliance upon information recorded or displayed by it. This includes responsibility for verifying recorded events and times and for complying with all applicable laws, regulations, employer policies, medical directives, protocols, and professional obligations.
9. Disclaimer of Warranties
To the maximum extent permitted by applicable law, CodeMark is provided "as is" and "as available", without warranties or conditions of any kind, express or implied, including warranties of accuracy, reliability, availability, fitness for a particular purpose, merchantability, non-infringement, or uninterrupted or error-free operation.
10. Limitation of Liability
To the maximum extent permitted by applicable law, the developer and any associated contributors shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or other losses or damages arising from or related to the download, installation, use, inability to use, malfunction, failure, inaccuracy, or loss of data associated with CodeMark, including losses arising from reliance on incorrect, missing, delayed, duplicated, or lost timestamps or events.
11. Indemnification and Hold Harmless
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless the developer and its contributors from claims, liabilities, damages, losses, costs, and expenses arising out of or related to your use or misuse of CodeMark, your reliance on recorded information, your violation of this EULA, or your violation of any applicable law, regulation, policy, protocol, or third-party right.
12. Intellectual Property
CodeMark and all associated software, source code, compiled binaries, artwork, graphics, branding, documentation, and other materials are proprietary and protected by applicable intellectual-property laws. All rights not expressly granted by this EULA are reserved.
Unauthorized copying, modification, reproduction, distribution, or sharing of CodeMark, in whole or in part, is prohibited except as expressly permitted by the CodeMark EULA or applicable law.
13. Restrictions
You may not, except where expressly permitted by applicable law or with written authorization from the developer, modify, reverse engineer, decompile, disassemble, redistribute, resell, sublicense, publish, or create derivative works from CodeMark.
14. Privacy and Patient Information
You are responsible for ensuring that your use of CodeMark complies with all applicable privacy, confidentiality, and patient-information requirements. Do not enter or record information that CodeMark is not designed or authorized to handle. CodeMark should not be treated as a secure patient-record system.
15. Updates and Compatibility
The developer may modify, update, suspend, or discontinue CodeMark or any supported-device version at any time. Compatibility with a particular Garmin device or software version is not guaranteed indefinitely.
16. Termination
This license automatically terminates if you breach this EULA. Upon termination, you must cease using and delete CodeMark and any copies in your possession or control, except where retention is required by law.
17. Governing Law
This EULA shall be interpreted in accordance with the laws applicable in the Province of Ontario, Canada, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.
18. Severability
If any provision of this EULA is determined to be unenforceable, the remaining provisions shall remain in effect to the maximum extent permitted by law.
19. Entire Agreement
This EULA constitutes the agreement between you and the developer concerning your use of CodeMark and supersedes prior representations concerning that subject, except for any separate written agreement expressly incorporated into this EULA.
